By accessing or using any services provided by OnDB Inc. (“OnDB,” “we,” “us,” or “our”), including our website, platform, APIs, and SDKs (collectively, the “Services”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Services.
1. Services
The Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. We reserve the right to modify, suspend, or discontinue any part of the Services at any time without notice or liability.
2. Your Responsibilities
You are responsible for maintaining account security, complying with applicable laws, and ensuring the legality of any data you submit. You must maintain independent backups of your data. We are not responsible for any loss or corruption of data.
3. Acceptable Use
You agree not to use the Services for any unlawful purpose, to interfere with the Services, to reverse engineer any aspect of the Services, or to build a competing product. We may determine, in our sole discretion, whether any use violates these Terms.
4. Payments
All fees are non-refundable. We reserve the right to modify pricing at any time. Continued use after a price change constitutes acceptance.
5. Intellectual Property
All rights in the Services, including software, technology, and trademarks, are the exclusive property of OnDB Inc. You retain ownership of your data but grant us a worldwide, royalty-free license to use it as necessary to provide the Services. Any feedback you provide may be used by us without obligation or compensation.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONDB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100). WE SHALL NOT BE LIABLE FOR ANY LOSS, CORRUPTION, OR UNAUTHORIZED ACCESS TO YOUR DATA.
7. Indemnification
You agree to indemnify and hold harmless OnDB Inc., its officers, directors, employees, and affiliates from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.
8. Termination
We may suspend or terminate your access at any time, for any reason, without notice or liability. We are under no obligation to retain your data after termination.
9. Governing Law
These Terms are governed by the laws of the State of Delaware, United States. Any disputes shall be resolved exclusively in the courts located in Delaware.
10. Changes
We may modify these Terms at any time. Changes are effective when posted. Continued use constitutes acceptance.
